1. Introduction
Welcome to ComplifyOne. This platform is operated by DATASPEAKS SERVICES PRIVATE LIMITED. Throughout the site, the terms “we”, “us” and “our” refer to DATASPEAKS SERVICES PRIVATE LIMITED.
By creating an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must discontinue use of the platform immediately.
These Terms & Conditions should be read in conjunction with our Privacy Policy and Cancellation & Refund Policy.
2. Eligibility
- Users must be at least 18 years of age or have reached the age of legal majority in their jurisdiction.
- By using ComplifyOne, you represent that you have the legal capacity to enter into a binding agreement on behalf of yourself or your organisation.
- Users are responsible for providing accurate, current, and complete information during registration and for updating it as necessary.
- ComplifyOne reserves the right to refuse service, terminate accounts, or cancel subscriptions at its sole discretion if eligibility requirements are not met.
3. Nature of Services
ComplifyOne provides digital tools for businesses and their advisors to track, upload, store, organize, reconcile, and access compliance information.
- No professional advice: ComplifyOne does not provide legal, tax, accounting, or audit advice. The platform is a tracking and data-management tool only. Always consult qualified professionals for regulatory decisions.
- All information stored or managed within ComplifyOne is supplied, controlled, and owned by the user.
- ComplifyOne does not verify the accuracy, completeness, or validity of any information uploaded by users.
4. User Account & Responsibilities
- Users must maintain the confidentiality of their login credentials and must not share account access with unauthorized persons.
- Users are solely responsible for all activity occurring under their account.
- Users must ensure the information they upload is accurate, lawful, and does not infringe on any third-party rights.
- Users must notify ComplifyOne immediately at support@complifyone.com if they suspect unauthorized access to their account.
- Misuse of the platform, including unauthorized access attempts, data scraping, or exploitation of vulnerabilities, is strictly prohibited.
5. Data Privacy & Security
ComplifyOne implements industry-standard security measures including encryption (in transit and at rest), secure cloud storage, tenant isolation, and authenticated access controls. Users retain full ownership of the data they upload. ComplifyOne will not share, sell, rent, or disclose user data to third parties except when legally required, when explicitly authorized by the user, or to trusted service providers under strict confidentiality agreements. 6. Plans, Billing & Cancellation
- ComplifyOne offers a free Starter plan (no charge, no payment method required) and paid plans.
- By subscribing to a paid plan, you authorize ComplifyOne (or the applicable billing provider) to charge the designated payment method on a recurring basis until the subscription is cancelled.
- Paid plans are billed in advance on a monthly or annual basis, depending on the cycle selected at checkout.
- You may cancel at any time from account settings. Cancellation stops future billing; the current billing cycle remains active until its scheduled end date, after which the account reverts to the free Starter plan.
- Subscription fees already paid are non-refundable, except in the limited eligible cases described in our Cancellation & Refund Policy.
- ComplifyOne reserves the right to modify subscription pricing with at least 30 days’ advance notice. Continued use after the price change constitutes acceptance.
7. Service Availability
- ComplifyOne aims to maintain continuous platform availability with a target uptime of 99.9%.
- Scheduled maintenance may cause temporary downtime; users will be notified at least 48 hours in advance whenever possible.
- ComplifyOne is not liable for service interruptions caused by internet outages, third-party hosting failures, force majeure events, or unauthorized access despite reasonable security measures.
8. Intellectual Property
- All platform software, source code, branding, logos, UI/UX design, documentation, and related materials are the exclusive property of ComplifyOne and are protected by applicable intellectual property laws.
- Users are granted a limited, non-exclusive, non-transferable, revocable license to use the platform in accordance with these Terms.
- Users may not copy, modify, reverse-engineer, decompile, distribute, sublicense, or create derivative works from any part of the platform.
- All feedback, suggestions, or ideas submitted by users may be used by ComplifyOne without obligation or compensation.
9. Prohibited Activities
- Uploading harmful, illegal, defamatory, obscene, or abusive content.
- Attempting to bypass, disable, or circumvent security controls.
- Using the platform to store or distribute malware, viruses, or malicious code.
- Impersonating others or creating fraudulent accounts.
- Using automated scripts, bots, or crawlers to access the platform.
- Interfering with or disrupting the platform’s infrastructure or other users’ access.
- Using the platform for any unlawful purpose or in violation of applicable laws.
Violations may result in immediate account suspension, termination, and/or legal action.
10. Termination of Access
By ComplifyOne: We may suspend or terminate user access, with or without notice, if these Terms are violated, if fraudulent or suspicious activity is detected, if required by law, or if the user’s actions pose a risk to the platform or other users.
By User: Users may terminate their account at any time through account settings or by contacting support@complifyone.com.
Effect of Termination: On voluntary cancellation, access to paid features continues until the end of the current billing cycle, then reverts to the free Starter plan. On termination for a Terms violation, fraud, or legal reasons, access may end immediately without refund. Data retention and deletion follow the procedures in our Cancellation & Refund Policy.
11. Limitation of Liability
- ComplifyOne provides the platform on an “as is” and “as available” basis without warranties of any kind, express or implied.
- ComplifyOne is not responsible for regulatory outcomes, penalties, or any consequences arising from information stored or accessed on the platform.
- ComplifyOne is not liable for data loss caused by user actions, forgotten credentials, account compromise due to user negligence, or external system failures.
- In no event shall ComplifyOne be liable for any indirect, incidental, special, consequential, or punitive damages.
- ComplifyOne’s total liability for any claim shall not exceed the amount paid by the user to ComplifyOne in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless ComplifyOne and DATASPEAKS SERVICES PRIVATE LIMITED, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your use or misuse of the platform, your violation of these Terms, your violation of any third-party rights, or any content you upload.
13. Dispute Resolution
Any dispute arising out of or relating to these Terms or the platform shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may initiate binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Hyderabad, India, conducted by a sole arbitrator mutually agreed upon by both parties. Each party shall bear its own costs, and the arbitrator’s decision shall be final and binding.
14. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the courts of Hyderabad, India, shall have exclusive jurisdiction over any disputes arising from these Terms.
15. Force Majeure
ComplifyOne shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, acts of war or terrorism, pandemics, government actions, power outages, internet disruptions, cyberattacks, or failure of third-party services.
16. Communications & Notifications
- By creating an account, you consent to receive transactional communications, including account confirmations, billing notices, security alerts, and service updates.
- You may opt out of promotional communications at any time via account settings or the “unsubscribe” link in any promotional email.
- ComplifyOne may provide notices via email, in-app notifications, or by posting on the platform.
17. Changes to Terms
ComplifyOne reserves the right to update or modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 15 days before taking effect, and updated versions will be posted with a revised Effective Date and Version number. Continued use after changes take effect constitutes acceptance.
